Terms of Service

These Terms of Service ("Terms") govern your use of the Dispo Buddy website and services operated by Deal Pros LLC ("we," "us," or "our"). By using our platform, you agree to these Terms.

1. Services Overview

Dispo Buddy is a JV (joint venture) disposition platform that connects wholesalers, bird dogs, and agents ("Partners") with our buyer network. We review submitted deals, package them for marketing, and coordinate buyer outreach and closing. Our core service is non-exclusive deal disposition on a revenue-share basis.

2. Eligibility

You must be at least 18 years old and legally authorized to enter into contracts in your jurisdiction. By submitting a deal, you represent that you have the legal right to market the property (e.g., you hold equitable interest via a purchase agreement or assignment contract).

3. Deal Submissions

• All deal information you submit must be accurate and truthful.
• You represent that the property is under contract or that you have authorization to market it.
• We reserve the right to decline any deal submission at our sole discretion.
• Submitting a deal does not guarantee acceptance, marketing, or closing.

4. JV Agreement & Compensation

• Accepted deals require a signed JV Agreement before marketing begins.
• The standard revenue split is 50/50 of the net assignment fee, paid through the title company at close.
• Partners who reach $25,000 in funded fees or close 3 deals in a single quarter qualify for a 30/70 split (30% to us, 70% to you) on future deals.
• Compensation is only earned upon successful closing. If a deal falls through, neither party owes the other anything.
• Final split terms are set in the signed JV Agreement, which supersedes these general Terms.

5. Non-Exclusivity

Our partnership is non-exclusive. You may continue to market submitted deals yourself and work with other disposition partners. If your buyer closes before ours, no fees are owed to us. We only earn compensation if we bring the buyer who closes.

6. Confidentiality

We treat your deal information, contract details, and seller information as confidential. We share deal details only with qualified, vetted buyers in our network and professionals involved in the transaction (title companies, attorneys). We do not post seller contact information publicly.

7. Portal Access

• Portal access is provided to Partners via OTP (one-time password) authentication.
• You are responsible for maintaining the security of your login credentials and phone/email access.
• We reserve the right to suspend or terminate portal access at any time for misuse or inactivity.

8. Intellectual Property

The Dispo Buddy name, logo, website design, and marketing materials are the property of Deal Pros LLC. You may not reproduce, distribute, or create derivative works from our content without written permission.

9. Limitation of Liability

Dispo Buddy and Deal Pros LLC are not liable for:

• Deals that fail to close for any reason
• Buyer behavior, financing failures, or title issues
• Lost profits or opportunity costs from declined submissions
• Inaccuracies in property information provided by Partners

Our total liability to you shall not exceed the fees actually paid to you through our platform in the preceding 12 months.

10. Termination

Either party may terminate the relationship at any time. Deals already under JV Agreement and in active marketing will be honored through closing or mutual agreement to withdraw. Termination does not affect compensation owed on deals that have already closed.

11. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be settled by binding arbitration in Maricopa County, Arizona, under the rules of the American Arbitration Association.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of our platform after changes are posted constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of Arizona without regard to conflict of law provisions.
